ANNOUNCEMENT OF THE MERGER OF CEMENTOS MOLINS, S.A. AND CEMOLINS INTERNACIONAL, S.L.U.

Pursuant to the provisions of Articles 49 and 51 of Law 3/2009, of 3 April, on structural modifications of commercial companies (“LME”), the Joint Merger Plan through the absorption by Cementos Molins, S.A. of Cemolins Internacional, S.L.U., drafted, approved and signed on 25 February 2021 by the administrative bodies of both companies involved in the merger, duly inserted in the corporate website of Cementos Molins, S.A. on 9 February 2021, is hereby made public, duly drawn up, approved and signed on 25 February 2021 by the management bodies of both companies involved in the merger, duly posted on the corporate website of Cementos Molins, S.A. on 9 April 2021 and deposited with the Commercial Registry of Madrid on 19 April 2021.
