In compliance with the provisions of article 32 of Law 3/2009 of 3 April on Structural Modifications of Mercantile Companies, the COMMON DRAFT OF MERGER BY TAKEOVER, drawn up and signed on 25 February 2021 by the members of the boards of directors of Cementos Molins, S.A. (absorbing company) and its wholly-owned subsidiary Cemolins Internacional, S.L.U. (absorbed company), is hereby published.
